1. Introduction
1.1. Our Purpose
The services we provide are designed to enable our users — even those who are not technology enthusiasts or design experts — to easily create a beautiful and highly functional online presence, manage and promote their businesses, content and ideas, and overall enjoy a good experience in doing so. As described below, we offer our users a wide range of features that allow them to create, publish and use online catalogues. Online and mobile websites and platforms created by users will be referred to in these Terms of Use as "User Platform(s)".
1.2. Legal Agreement
These SimplePatrol Terms of Use ("Terms of Use"), together with any additional terms applicable to specific services and features offered on the SimplePatrol website(s) (the "SimplePatrol Website" and collectively the "SimplePatrol Terms"), constitute the entire set of terms and conditions applicable to every individual ("User", "you" or "your") who visits and/or uses the SimplePatrol Website and/or any other service, application or feature provided by us in connection with the website, unless expressly stated otherwise by us.
Visiting and/or using SimplePatrol Services and/or the SimplePatrol Application is only possible if you fully accept the SimplePatrol Terms — and your use of and/or registration for any of the SimplePatrol Services constitutes your informed acceptance of these Terms of Use and all other SimplePatrol Terms applicable to your use of any SimplePatrol Service. If you have not read or do not fully understand and accept the SimplePatrol Terms, you must immediately leave the SimplePatrol Website and stop using or cease to use the SimplePatrol Services.
By using our Services, you acknowledge that you have read our Privacy Policy ("Privacy Policy").
1.3. User Account
To access and use certain parts and features of the SimplePatrol Services, you must first register with SimplePatrol and create a user account ("User Account").
If any person other than yourself accesses your User Account and/or any of your User Platform settings, that person may — among many other actions — perform any action available to you (unless otherwise explicitly stated in the SimplePatrol Services), make changes to your User Platform(s) and User Account, accept any related legal conditions, or make various statements and commitments — and in such cases, all such actions shall be deemed to have been taken on your behalf and in your name.
We therefore strongly advise you to keep your User Account login credentials confidential and only allow access to people you trust. Please note that sole responsibility for all actions taken under your User Account and/or User Platforms (including all statements, commitments and promises made thereunder) and all damages, losses or expenses arising therefrom lies entirely with you, whether or not you have specifically authorized such access.
The information you provide when creating your User Account — to which you are the sole and exclusive owner — and when using the SimplePatrol Services must be accurate and complete. We strongly advise you to provide your personal (or company) contact and billing information, including your valid email address. We may use this information to identify the actual and real owner of the User Account and/or User Content (as defined below) provided to us.
2. Your Obligations
2.1. You represent and warrant that:
You are of legal age of majority under your own laws, and that you have the legal authority, right and freedom to accept the SimplePatrol Terms and to enter into a binding agreement on your own behalf or on behalf of the person or entity you are binding to the SimplePatrol Terms;
You understand that SimplePatrol does not provide any legal advice or recommendations regarding any laws or requirements applicable to your use or that of any of your End Users;
You own all rights in and to all content uploaded to or provided for your User Platform, or imported, copied or uploaded to your User Platform by the SimplePatrol Services on your behalf — including any design, image, animation, video, audio file, font, logo, code, illustration, artwork, interface, username, subdomain, information, text, literary work and other material ("Content") ("User Content") — or that you have all the necessary authority, rights, licenses, consents and permissions to allow such User Content to be legally accessed, imported, copied, used, published, transferred or licensed by you and by us or any of our affiliates.
2.2. You agree and undertake to:
Comply strictly with all applicable laws and other contractual conditions applicable to your use of the SimplePatrol Services (and any related relationship or transaction), including specific laws applicable to you or any of your End Users in any geographic location;
Assume sole responsibility and liability for all use of the SimplePatrol Services and all User Content under your User Account and/or User Platform(s) (including the consequences of accessing, importing, uploading, copying, using or publishing such User Content in connection with the SimplePatrol Services);
Regularly and independently back up and store all User Content and all information relating to your User Platform, including that relating to End Users, User Products and all applications and/or Third Party Services used by you.
2.3. You agree and undertake not to:
Copy, modify, reuse, create derivative works from, download, adapt, reverse engineer, emulate, migrate to another server, translate, compile, decompile, or disassemble the SimplePatrol Website, the SimplePatrol Services (or any part thereof), any content offered by SimplePatrol for use in User Platforms ("Licensed Content") and/or any part thereof in any way, or publicly display, perform, transmit or distribute any of the foregoing without SimplePatrol's prior specific written permission and/or as explicitly permitted under the SimplePatrol Terms;
Submit, transmit or display any User Content or Licensed Content in a manner that may be considered defamatory, abusive, obscene, harassing, threatening, inciting, misleading or fraudulent, or that otherwise infringes the rights (including intellectual property rights, contractual rights or fiduciary rights) of SimplePatrol or any third party;
Engage in any unlawful act to obtain credentials and/or passwords for logging into other websites, third-party software or services;
Purchase search engine or other pay-per-click keywords (such as Google Ads) or domain names using SimplePatrol or the SimplePatrol Marks and/or their variations and misspellings;
Act in any way that may tarnish or damage SimplePatrol's reputation or standing;
Upload, add, collect or otherwise make available any malicious, unlawful, defamatory or indecent Content within the SimplePatrol Website or SimplePatrol Services;
Sell, license or use for any commercial purpose any Licensed Content and/or any use of or access to the SimplePatrol Services, except as expressly permitted under the SimplePatrol Terms;
Violate, attempt to violate, or otherwise fail to comply with any of the SimplePatrol Terms or any law or requirement applicable to your use of the SimplePatrol Services.
You acknowledge that failure to comply with any of the foregoing, or making a false statement with respect to any of the foregoing, may result in the immediate termination of your User Account and/or any Services provided to you without additional notice, and without refund of any fees paid for such Services.
3. Content and Ownership
3.1. Your Intellectual Property
As between SimplePatrol and you, all intellectual property in your User Content and all other materials created by you — including all designs, images, animations, videos, audio files, fonts, logos, drawings, compilations, artworks, code, interfaces, text and literary works created by you — belongs entirely to you. SimplePatrol does not claim ownership of your content. You acknowledge and agree that, solely for the purpose of providing you with the Services, we may access, upload to our platform and/or copy your User Content to make display adjustments, back-up copies, and carry out any other technical operations and/or uses we deem necessary to provide our services, including through cloud services and content delivery networks.
3.2. SimplePatrol's Intellectual Property
All rights, title and interest in and to the SimplePatrol Services — including all artwork, graphics, images, website templates and widgets, literary works, source and object code, computer code (including HTML), applications, audio, music, video and other media, designs, animations, interfaces, documentation, derivatives and versions thereof, the "look and feel" of the SimplePatrol Services, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, inventions, trade secrets, logos, domain names, customized URLs, trademarks, service marks, trade names and other proprietary identifiers, whether registered or registrable, and all copyrightable or other content subject to any copyright under applicable law (collectively "Intellectual Property") and all derivatives thereof — are owned by and/or licensed to SimplePatrol.
Subject to your full compliance with the SimplePatrol Terms and timely payment of all applicable Fees, SimplePatrol grants you, for as long as SimplePatrol agrees to provide you with the SimplePatrol Services following the creation of your User Account, a non-exclusive, non-transferable, sub-licensable, fully revocable, limited license to use the SimplePatrol Services and Licensed Content solely as expressly permitted under the SimplePatrol Terms and solely within the scope of the SimplePatrol Services, for the purpose of creating your User Platform and displaying it to your End Users, and for offering your User Products (as defined below) thereunder.
3.3. Feedback and Suggestions
If you provide us with any suggestions, comments or other feedback relating to the SimplePatrol Services (whether existing, proposed or anticipated) that may be subject to any Intellectual Property rights ("Feedback"), such Feedback shall be exclusively owned by SimplePatrol. By providing Feedback to SimplePatrol, you agree that it may be used by SimplePatrol to: (i) further develop, customize and improve the SimplePatrol Services; (ii) provide ongoing assistance and technical support; (iii) contact you with general or personalized SimplePatrol-related notices and/or interview requests based on your Feedback; (iv) facilitate, support and offer certain promotions and monitor their performance; (v) compile statistical data and other aggregated and/or inferred information to improve our services; (vi) enhance SimplePatrol's data security and fraud prevention capabilities; (vii) comply with applicable laws and regulations.
4. Privacy
Certain parts of the SimplePatrol Services (including certain Third Party Services provided thereunder as further described in Section 9 below) require the provision, collection and/or use of certain personally identifying or identifiable information. SimplePatrol and relevant Third Party Services may collect, access and use certain data relating to Users and End Users as part of accessing or using the SimplePatrol Services, including transactions or browsing activities performed by Users and End Users through the SimplePatrol Services and/or User Platforms. We recommend that you regularly review our Privacy Policy and the policies of relevant Third Party Services in this regard.
5. Service Fees
5.1. Paid Services
The use of certain SimplePatrol Services may be subject to specific fees determined by SimplePatrol at its sole discretion (respectively "Paid Services" and "Fee(s)"). SimplePatrol will notify you of the Fees then applicable to such Paid Services. If you wish to receive or use such Paid Services, you will be required to pay the applicable Fees in advance.
We reserve the right to change the Fees at any time upon notice to you if the change affects your existing subscriptions. If you have benefited from a discount or other promotional offer, SimplePatrol has the right to automatically renew your subscription to the relevant SimplePatrol Service(s) at the full applicable Fee without further notice.
Unless otherwise specifically stated by SimplePatrol in writing, all Fees are exclusive of all taxes, levies and duties imposed by taxing authorities (including value added tax, sales tax, goods and services tax, etc.) ("Taxes"), and you will be responsible for payment of all applicable Taxes relating to your use of the SimplePatrol Services or any payment made or purchase completed by you. If SimplePatrol is required to collect or pay Taxes in connection with Fees paid by you, such Taxes may be added to any outstanding Fees and reflected on the relevant invoice.
5.2. Invoices
SimplePatrol and/or its affiliates will issue an invoice or credit note ("Invoice") for all Fee payments and all refunds made to or by SimplePatrol. All invoices are issued electronically and provided to you via your User Account and/or by email, depending on the country in your billing address. To comply with local laws, you may be asked to provide certain Personal Information (as defined in the Privacy Policy) for invoicing purposes.
5.3. Automatic Renewal of Subscriptions
To ensure you experience no interruption or loss of service, certain Paid Services include an automatic renewal option by default, whereby such Paid Services will automatically renew upon expiry of the relevant subscription period for a renewal period equal to the original subscription period (excluding extension periods), unless you turn off the automatic renewal option. SimplePatrol will attempt to automatically charge the payment method on file with SimplePatrol for the applicable Fees approximately two (2) weeks before the relevant renewal period begins. If the applicable Fees cannot be collected from you, we may, at our sole discretion and without notice to you, attempt to collect such Fees at a later date and/or suspend or cancel your User Account.
You may turn off automatic renewal or cancel your Paid Services at any time from your User Account or by visiting the SimplePatrol Help Center.
5.4. Money-Back Guarantee
If you are not satisfied with a Paid SimplePatrol Service for a service period or subscription commitment, and if you are purchasing such service for the first time, you may notify us of your cancellation for any reason within fourteen (14) days of the date the SimplePatrol Services were first ordered or activated ("Refund" and "Refund Period"). The refund option is only available on first-time purchases of SimplePatrol services that upgrade a free website to a Premium Plan (as offered on the SimplePatrol Website). The refund option does not apply to any additional purchase, upgrade, modification or renewal of SimplePatrol Services. SimplePatrol will cancel the services and refund the amount charged to you for such SimplePatrol Services in the currency charged to you, upon receiving your notification within the applicable Refund Period. After the Refund Period expires, all Fees paid by you are non-refundable and non-cancellable.
5.5. Chargebacks
If any Fee payable to SimplePatrol under your account is rejected, subject to a chargeback or otherwise disputed at any time ("Chargeback"), this will constitute a breach of your payment obligations under these terms and your use of the SimplePatrol Services may be automatically disabled or terminated.
In the event of a Chargeback, your User Account may be blocked without the option to repurchase or re-use, and all data contained in such User Account — including any domain names, applications and Third Party services — may be cancelled and subject to Capacity Loss (as defined in Section 6.3 below).
6. Cancellation
6.1. Cancellations by User
You may stop using your User Account and/or any SimplePatrol Service at any time and request their cancellation in accordance with the instructions relating to the SimplePatrol Services. The effective date and time of such cancellation will be the date and time on which you complete the cancellation process for the SimplePatrol Services, and the effective date and time of cancellation of Paid Services will be the end of the subscription period for the relevant Paid Services.
Notwithstanding the foregoing, automatically renewing Paid Service subscriptions will only be terminated upon the expiry of the period for which you have already paid. Since the cancellation process may take a few days, please note that the cancellation request must be submitted at least fourteen (14) days prior to the end of the current service period in order to prevent the next renewal and associated charge from being processed automatically.
6.2. Cancellations by SimplePatrol
In the event of non-compliance with any of the SimplePatrol Terms and/or non-payment of applicable Fees, SimplePatrol has the right to suspend or cancel your User Account and User Platform (or certain features thereof), as well as the provision of any related SimplePatrol Service (e.g., Paid Services) or Third Party Services to you (until full payment is made).
6.3. Loss of Data, Content and Capacity
Cancellation of your User Account or any SimplePatrol Service or Third Party Service associated with your User Account (whether at your request or at SimplePatrol's discretion) may result in the loss of some content, features or capacity of your User Account ("Capacity Loss"), including any User Content, End User data or other usage data held in your User Account and any domain name reservation or registration included in such Services. SimplePatrol has no liability with respect to such Capacity Loss or with respect to backing up your User Account, User Content or End User data.
7. Misconduct and Copyright
7.1. Misconduct and Harassment
When using the SimplePatrol Services, you may be exposed to User Platforms, User Content or Third Party Services from a variety of sources, which may be inaccurate, offensive, objectionable or unlawful. You waive any and all legal or equitable rights and remedies you have or may have against SimplePatrol in connection therewith.
If you believe that any User or Third Party Service is acting improperly or otherwise abusing any SimplePatrol Service, please report such User and/or Third Party Service to us immediately. You acknowledge that such report will not impose any liability or obligation on SimplePatrol, and that SimplePatrol may, at its sole discretion, investigate the report, take action, refrain from taking action, or request additional information before taking action.
7.2. Copyright
SimplePatrol acts in accordance with its interpretation of the Digital Millennium Copyright Act ("DMCA"). If you believe that your work has been copied or used in a manner that constitutes copyright infringement, you may report the alleged infringement to us at [email protected], including: (1) contact information for the person authorized to act on behalf of the copyright owner; (2) a description of the copyrighted work you claim has been infringed; (3) a description of the material you claim is infringing or is the subject of infringing activity and that is to be removed or access to which is to be disabled, along with information reasonably sufficient to permit SimplePatrol to locate the material (including a URL); (4) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (5) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner of the copyright that is allegedly infringed.
8. Disclaimer of Warranties
The SimplePatrol Services provided by us are provided on an "as is", "as available" and "with all faults" basis, without any warranty of any kind, to the fullest extent permitted by law, including all implied warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort and non-infringement of third-party rights. In particular, no representation or warranty is made by us that the SimplePatrol Services (or any part, feature or Content thereof) are complete, accurate, of a certain quality, reliable or secure in any way, suitable for or compatible with any of your (or your End Users') contemplated activities, devices, operating systems, browsers, software or tools (or that they will remain so at any time), or that they comply with any laws applicable to you or your End Users, or that their operation will be free of any viruses, software bugs or other harmful components or program limitations. Furthermore, no entity, product or service named or otherwise made available in connection with the SimplePatrol Services (including all Third Party Services) is endorsed by us — please verify their accuracy before using or otherwise relying on them.
9. Limitation of Liability
To the fullest extent permitted by law in applicable jurisdictions, SimplePatrol, its officers, directors, shareholders, employees, affiliates and/or agents shall have no liability to you for: (1) any errors, inaccuracies or omissions in any content; (2) any personal injury or property damage relating to your use of the SimplePatrol Services; (3) any unauthorized access to or use of our servers and/or any personal information and/or other information stored therein; (4) any interruption or cessation of transmission to or from the SimplePatrol Services; (5) any use or display of any Content or User Content published, emailed, transmitted or otherwise made available through the SimplePatrol Services; (6) any internet failure, hardware failure, power failure, strike, labor dispute, riot, insurrection, civil disturbance, shortage of labor or materials, fire, flood, storm, earthquake, explosion, natural disaster, war, terrorism, governmental action, court, arbitrator or arbitration panel order, or non-performance by third parties; and/or (7) any direct, indirect, incidental, special, punitive or consequential damages whatsoever, including loss of use, data, profits, goodwill and other intangible losses arising from any of the foregoing or from the use of or inability to use all or any part of the SimplePatrol Services.
You acknowledge that these limitations of liability represent an agreed allocation of risk that is determined in part by the importance of SimplePatrol's services, and that these limitations will apply even where SimplePatrol has been advised of the possibility of such liabilities arising.
10. Indemnification
You agree to defend, indemnify and hold harmless SimplePatrol, its officers, directors, shareholders, employees, affiliates and agents from and against any and all claims, damages, liabilities, losses, responsibilities, costs, debts and expenses (including attorneys' fees) arising out of: (1) your breach of any provision of these Terms of Use or any other SimplePatrol Terms; (2) your infringement of any third-party rights — including intellectual property rights, access rights, ownership rights and privacy rights — arising from your User Platform or User Content and/or your use of the SimplePatrol Services; (3) any other claims or allegations that your User Platform and/or User Content has caused harm to a third party.
11. General
11.1. Changes and Updates
SimplePatrol reserves the right to change, suspend or discontinue any SimplePatrol Service (or any feature thereof or prices applicable thereto) at any time and in any manner, with or without prior notice, and/or to cancel your access to any of the SimplePatrol Services for any reason (including the removal of all materials created by you in connection with the SimplePatrol Services), and/or to amend any SimplePatrol Terms at any time and in any manner. You acknowledge that SimplePatrol shall have no liability to you or any third party in connection with any such change, suspension or discontinuation of SimplePatrol Services. If such changes require the payment of additional Fees, you will be notified of those Fees before the relevant changes are activated.
11.2. Governing Law and Jurisdiction; Class Action Waiver
The SimplePatrol Terms, the rights and remedies provided hereunder, and any and all claims and disputes relating to them and/or the SimplePatrol Services, their interpretation, breach, termination or validity, shall be governed by, construed and enforced in all respects solely and exclusively by the internal substantive law of the Republic of Turkey, without regard to its conflict of laws principles.
All such claims and disputes shall be submitted to a competent court in Ankara, and you hereby consent to the exclusive resolution of such claims and disputes by those courts.
To the extent permitted by applicable law, all disputes between SimplePatrol and you shall be resolved on an individual basis, and you shall not be entitled to bring a claim against SimplePatrol as a plaintiff or class member in any class, consolidated or representative action (or any other legal proceeding conducted by a group or representative on behalf of others).
11.3. Notices
We may provide notice to you by any of the following means: (1) through the SimplePatrol Services, including a banner or pop-up within the SimplePatrol Website, User Account or elsewhere; (2) by email sent to the email address you provided to us; and/or (3) through any other means, including any telephone number or postal address you have provided to us. Unless otherwise stated in the notice, any notice delivered by SimplePatrol to you shall be deemed received and effective twenty-four (24) hours after being published or sent using any of the above methods.
11.4. Relationship
The SimplePatrol Terms and your use of the SimplePatrol Services do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between SimplePatrol and you.
11.5. Entire Agreement
These Terms of Use, together with the SimplePatrol Terms and any other legal notices or fee notifications delivered by SimplePatrol to you, constitute the entire agreement between you and SimplePatrol with respect to the subject matter hereof, and supersede all prior or contemporaneous agreements, understandings, promises, conditions, negotiations, commitments or representations between SimplePatrol and you, whether written or oral, including those made by or between our respective representatives, with respect to any SimplePatrol Service. You also acknowledge that you have not relied on any promise, inducement, representation, statement, disclosure or duty of disclosure by SimplePatrol in accepting any of the SimplePatrol Terms.
11.6. Assignment
SimplePatrol may assign its rights and/or obligations under these terms and ownership rights in relation to the SimplePatrol Services and/or Licensed Content to a third party without your consent and without prior notice to you. You may not assign or transfer your rights or obligations under these terms without prior written consent from SimplePatrol. Any assignment or attempted assignment made without SimplePatrol's prior express written consent shall be deemed void.
11.7. Severability and Waiver
If any provision of the SimplePatrol Terms is found by a court of competent jurisdiction to be invalid, unlawful, void or unenforceable for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. A waiver of any breach or default under any of the SimplePatrol Terms shall not be deemed a waiver of any prior or subsequent breach or default.
